Mandate of the Tidnish Crossroads & Area Community Association (By-Laws)
To foster and encourage spirit and pride in the community of Tidnish Crossroads & Area.
To encourage, foster, supervise and administer various community projects and activities of a social, cultural, health and wellness, sporting and recreational nature and for this purpose to encourage the establishment of various community groups for all ages and all segments of the community and area.

2024-12-06 Board membership update:
As many of you already know, the TCCA board President Rod Gilroy was recently elected Mayor of Cumberland County. Holding that position while also being TCCA President would put him into a conflict of interest position so he has resigned as TCCA President and board member.
Blair Andres who was the Vice-President will serve as President until the next AGM elections. The board appointed Jack Brown to serve as Vice-President until the next AGM.
We cannot thank Rod enough for his years of service to the TCCA but rest assured you will still see him out and about at TCCA events!

Chair:
1. Is a member of the Board.
2. Serves as the Chief Volunteer of the organization.
3. Is a partner with the Executive in achieving the organization's mission.
4. Provides leadership to the Board of Directors, who sets policy and to whom the Executive is accountable.
5. Chairs meetings of the Board after developing the agenda.
6. Encourages Board's role in strategic planning.
7. Appoints the chairpersons of committees, in consultation with other Board members.
8. Serves ex officio as a member of committees and attends their meetings fi so wishes or invited.
9. Discusses issues confronting the organization with the Executive.
10. Helps guide and mediate Board actions with respect to organizational priorities and governance concerns.
11. Reviews with the Executive any issues of concern to the Board.
12. Monitors financial planning and financial reports
13. Plays a leading role in fundraising activities.
14. Informally evaluates the effectiveness of the Board and its members often with the board as a whole or individually.
15. Evaluates annually the performance of the organization in achieving its mission.
16. Performs other responsibilities assigned by the Board.
17. Is the public face of the board when required
Vice Chair:
The person in this position is typically successor to the Chair position. In addition to the responsibilities outlined in the Committee Member job description, this position:
Is a member of the Board,
Performs Chair responsibilities when the Chair cannot be available (see Chair Job Description),
Reports to the Board's Chair,
Works closely with the Chair and other members,
Participates closely with the Chair to develop and implement officer transition plans,
Performs other responsibilities as assigned by the Board.
Secretary:
Is a member of the Board,
Maintains records of the board and ensures effective management of organization's records,
Manages minutes of board meetings,
Ensures minutes are distributed to members after each meeting,
Is sufficiently familiar with legal documents, permits, policies, contracts, bylaws and other documents of the Board of Directors and the Association to note applicability during a meeting,
Handles the correspondence of the Board when required
Keeps the President/Chair informed of any matters pertaining to Board business.
Treasurer:
1. Is a member of the Board,
2. Manages the finances of the organization under the direction of the Board of Directors,
3. Administers fiscal matters of the organization,
4. Provides regular monthly financial updates to the board at their monthly meeting,
5. Ensures development and board review of financial policies and procedures,
6. Keeps the President/Chair advised of any financial matters that may arise that requires immediate attention before the regular monthly meeting,
7. Ensures a yearly audit is completed and provides the financial information for such audit to be carried out,
8. Provides an Annual Financial Report to the Association's AGM.
Committee Chair:
1. Is usually but not always a member of the Board,
2. Sets tone for the committee work
3. Ensures that members have the information needed to do their jobs,
4. Oversees the logistics of committee's operations,
5. Reports to the Board's Chair,
6. Reports to the full Board on committee's decisions/recommendations,
7. Works closely with the Chief Executive and other members as agreed to by the Chief Executive,
8. Assigns work to the committee members, sets the agenda and runs the meetings, and ensures distribution of meeting minutes,
9. Reports at the AGM fi required.
Member at Large:
1. Regularly attends monthly board meetings and important related meetings,
2. Makes serious commitment to participate actively in committee work,
3. Volunteers for and willingly accepts assignments and completes them thoroughly and on time,
4. Stays informed about board matters, prepares themselves wel for meetings, and reviews and comments on minutes, reports and the business of the board as a whole,
5. Gets to know other board members and builds a positive working relationship that contributes to the decision making process,
6. Is an active participant in the Board's discussions and planning efforts,
7. Participates in fundraising for the organization when required.
